Glossario
Provider
Entità operante nel web che eroga servizi mediante accesso disciplinato da regole predefinite ad un canale di distribuzione delle informazioni. Fornitore dei Servizi qui descritti.
Azienda Provider
È da intendersi il soggetto giuridico titolare effettivo di tutti i diritti connessi all'esecuzione delle prestazioni fornite alla persona fisica o giuridica che ne usufruisce. Qui di seguito sarà più in breve definita come "Azienda".
Account
Codice univoco creato da una piattaforma emittente che attribuisce il diritto di accesso ai servizi della medesima.
Utente
Persona fisica o giuridica titolare di diritti disponibili che utilizza i servizi di un provider anche attraverso un account attivato.
Wallet
Comparto identificativo di un portafoglio (inteso come contenitore) nel quale sono residenti le rappresentazioni digitali di valori facenti capo al possessore della chiave di accesso ovvero titolare dell'identità digitale (Account). In quanto tale, sistema per la gestione dei crediti dell'utente all'interno dell'account dell'utente.
Crediti/Milioni
I crediti (M) rappresentano un’unità di valore digitale utilizzata esclusivamente all’interno del ns gioco. Sono gestiti attraverso un’infrastruttura tecnologica centralizzata (server proprietari dell’Azienda). I crediti non sono trasferibili all’esterno e non sono convertibili in denaro reale. Essi hanno funzione esclusivamente ludica, e di progressione all’interno della piattaforma di gioco, e sono comunque utilizzati per accedere alle “Aste” interne alla stessa piattaforma e per accedere ai “Servizi”. I crediti (M) scadono al termine di ogni stagione sportiva (campionato di Calcio Serie A FIGC), e il relativo credito di ogni giocatore si azzera. Per partecipare alla stagione successiva, il giocatore provvede all’acquisto di nuovi crediti (M) secondo le modalità note.
Servizi
Si tratta dell'insieme di tutte le funzionalità di gioco, annesse e connesse alla piattaforma di gioco, delle quali l'utente può fruire utilizzando i crediti, incluse le funzionalità riservate agli Utenti che abbiano sottoscritto l'abbonamento facoltativo "Premium" di cui all'Articolo 2.
Normativa Applicabile
• Il Regolamento (EU) 2016/679 all’art. 30 prevede che: “Le persone fisiche possono essere associate a identificativi online prodotti dai dispositivi, dalle applicazioni, dagli strumenti e dai protocolli utilizzati, quali gli indirizzi IP, marcatori temporanei (cookies) o identificativi di altro tipo, quali i tag di identificazione a radiofrequenza. Tali identificativi possono lasciare tracce che, in particolare se combinate con identificativi univoci e altre informazioni ricevute dai server, possono essere utilizzate per creare profili delle persone fisiche e identificarle”.

Condizioni e Termini di Servizio
Premessa
Si prega di leggere attentamente questi termini di servizio.
Football Exchange ("noi" o "ci") può offrire e gestire determinati contenuti, funzionalità, applicazioni e servizi (collettivamente i "Servizi"), inclusi, senza limitazioni, l'accesso e l'uso di questo sito web (www.football-exchange.com) e tutte le applicazioni ivi contenute.
ARTICOLO 1. Oggetto del servizio
L’azienda fornisce l’accesso gratuito alla piattaforma di gioco nella quale è possibile acquistare i crediti (M) che consentono all'utenza di eseguire, tra le altre cose, anche attività predittiva afferente la valutazione degli atleti professionisti nell’ambito di un sistema di indicizzazione dei dati di esclusiva proprietà dell’azienda proponente. Oltre all’accesso gratuito di base, l’Azienda offre agli Utenti la facoltà di sottoscrivere, su base opzionale, un abbonamento a pagamento (“Premium”) che consente l’accesso a funzionalità aggiuntive e a condizioni di utilizzo differenziate rispetto al piano gratuito, come disciplinato all’Articolo 2 e come descritto nella Guida alla Piattaforma.
ARTICOLO 2. Abbonamento Premium (opzionale)
2.1 L’Azienda offre agli Utenti la facoltà di sottoscrivere un abbonamento a pagamento denominato “Premium”, con modalità e prezzi indicati di volta in volta in Piattaforma. Alla data del presente aggiornamento, il prezzo indicativo è pari a 3,99 €/mese oppure 39,99 €/anno.
2.2 Il piano Premium prevede condizioni di gioco e benefici aggiuntivi rispetto al piano Free, come descritti nella Guida e Regole del Gioco e mostrati in Piattaforma prima della sottoscrizione. Alla data del presente aggiornamento, tali benefici includono uno spread ridotto all’1% sull’apertura delle posizioni BUY/SELL e il Pacchetto Esordiente in omaggio secondo le condizioni indicate in Piattaforma. Funzionalità annunciate come “prossimamente disponibili” non costituiscono benefici acquisiti fino al relativo rilascio.
2.3 Salvo diversa indicazione fornita all’Utente al momento della sottoscrizione, l’abbonamento Premium si rinnova automaticamente alla scadenza del periodo prescelto fino a disdetta. L’Utente può disattivare il rinnovo automatico attraverso i canali resi disponibili dalla Piattaforma o dallo store attraverso il quale l’abbonamento è stato acquistato; la disdetta produce effetto per i periodi di fatturazione successivi.
2.4 Restano impregiudicati i diritti inderogabili riconosciuti al consumatore dalla normativa applicabile, incluso, ove spettante, il diritto di recesso. Qualora l’Utente richieda l’avvio immediato della fornitura di contenuti o servizi digitali prima della scadenza del termine di recesso, trovano applicazione le condizioni e gli eventuali consensi richiesti dalla normativa vigente.
2.5 L’Azienda può modificare il prezzo o il contenuto del piano Premium con effetto sui periodi di rinnovo successivi, dandone comunicazione preventiva all’Utente con ragionevole anticipo e fatti salvi i diritti inderogabili previsti dalla legge.
ARTICOLO 3. Periodo di prova iniziale (Trial)
3.1 Ove disponibile, il nuovo Utente può attivare un periodo di prova gratuito (“Trial”) della durata indicata in Piattaforma, attualmente pari a 15 giorni, ricevendo 60 M di crediti di prova utilizzabili esclusivamente durante il Trial secondo le regole della Piattaforma.
3.2 Durante il Trial l’Utente può utilizzare le funzionalità abilitate, maturare PX e partecipare alle classifiche secondo la Guida e Regole del Gioco e, ove applicabile, il Regolamento del Concorso a Premi.
3.3 Alla scadenza del Trial, i Milioni di prova residui sono azzerati e le posizioni aperte mediante Crediti (M) di prova sono chiuse secondo le regole della Piattaforma; i relativi calciatori sono rimossi dal TEAM. I crediti (M) di prova, il TEAM e le posizioni del Trial non sono riscattabili né convertibili in denaro. I PX maturati e la posizione in classifica sono mantenuti nei limiti e secondo le condizioni previste dai documenti applicabili.
3.4 Eventuali offerte post-Trial, sconti temporanei o benefici collegati al primo acquisto di crediti (M) sono iniziative commerciali disciplinate dalle condizioni mostrate in Piattaforma e nella Guida vigente. Salvo diversa indicazione, tali iniziative non modificano la natura non rimborsabile e non convertibile in denaro dei crediti (M), fatti salvi i diritti inderogabili del consumatore.
ARTICOLO 4. Manifestazione del consenso
3.1 L'utilizzo del nostro sistema è di per sé attuazione di un comportamento concludente in relazione a tutti i termini e condizioni. La tua adesione è stata confermata dall'aver selezionato l'apposita area sul nostro sito.
ARTICOLO 5. Condizioni di accesso al Sistema Football Exchange
Utilizzando i Servizi, tramite i quali accedi alla piattaforma di gioco, dichiari e garantisci di:
• Accettare la premessa, il glossario ed ogni loro parte o termine come veri per te e comprensibili in ogni loro parte.
• Accettare ogni clausola dei seguenti termini e condizioni.
• Avere l'età consentita dalla legge per l'utilizzo del servizio.
• Stai utilizzando i Servizi solo per uso personale o per un'altra entità con l'autorizzazione di tale entità.
• Rispetterai i presenti Termini di servizio e tutte le leggi, norme e regolamenti locali, statali, nazionali e internazionali applicabili nell'utilizzo dei Servizi.
ARTICOLO 6. Politica sulla riservatezza
La tua privacy è della massima importanza per noi. Utilizzando i Servizi, acconsenti alla raccolta ed all'uso delle tue informazioni come divulgato nella nostra Informativa sulla privacy, la cui presa visione e accettazione sono richieste in fase di registrazione. L'Informativa è inoltre consultabile in ogni momento all'interno della piattaforma e sul sito web della Società.
ARTICOLO 7. Accesso ai servizi
6.1 Ci riserviamo il diritto di ritirare o modificare i Servizi a nostra esclusiva discrezione senza preavviso. Riconosci ed accetti che i Servizi potrebbero essere inaccessibili od inutilizzabili per qualsiasi motivo.
6.2 - Non farai, in nessuna circostanza, nessuna delle seguenti azioni:
• Utilizzare i Servizi per frodare terzi o altrimenti violare i diritti legali di altri
• Causare danni di qualsiasi natura (patrimoniale e non) a terzi
• Porre in essere comportamenti che violino qualsiasi legge o regolamento applicabile
• Fornire informazioni false, inesatte o fuorvianti
• Tentare di interrompere, interferire, danneggiare o ottenere accesso non autorizzato ai Servizi
ARTICOLO 8. Modifiche ai servizi
Possiamo modificare o interrompere, temporaneamente o permanentemente, i Servizi o qualsiasi parte di essi senza preavviso. Accetti che non saremo responsabili per qualsiasi modifica, sospensione o interruzione dei Servizi o di qualsiasi parte di essi.
ARTICOLO 9. Funzionamento della piattaforma Football Exchange
Alcuni dei servizi possono aiutarti ad accedere alla piattaforma Football Exchange: essa fornisce molteplici informazioni ed elabora i valori di mercato dei calciatori attraverso un modello proprietario (FX Index), alimentato dai dati di proprietà di Football Exchange e gestito su un’infrastruttura tecnologica centralizzata (server proprietari dell’Azienda).
Tutte le funzioni di gioco e di gestione dei Crediti (M) sono pertanto gestite e tracciate direttamente dai sistemi centralizzati dell’Azienda, senza il ricorso a tecnologie di tipo Blockchain o DLT (Distributed Ledger Technology), né a smart contract.
ARTICOLO 10. Risorse di terze parti
I Servizi possono menzionare e creare collegamenti ad altri siti, servizi e risorse forniti da terze parti. Football Exchange non rilascia alcuna dichiarazione o garanzia di alcun tipo in merito a qualsiasi sito, servizio o risorsa fornita da terze parti.
ARTICOLO 11. Termini e condizioni aggiuntivi
Ulteriori termini e condizioni possono essere applicati a specifiche applicazioni, funzionalità o parti dei Servizi. Tutti questi termini e condizioni aggiuntivi sono qui incorporati da questo riferimento nei presenti Termini di servizio.
ARTICOLO 12. Diritti di proprietà intellettuale
I Servizi (inclusi ma non limitati a tutte le informazioni, software, testo, display, immagini, video e audio e il design, la selezione e la disposizione degli stessi) sono protetti da copyright, marchio commerciale e altri diritti e leggi sulla proprietà intellettuale.
I presenti Termini di servizio ti consentono di utilizzare i Servizi solo per uso personale e non commerciale.
ARTICOLO 13. Esclusione di garanzie
L'utilizzo dei servizi è a tuo rischio; i servizi, compresi tutti gli strumenti, le applicazioni e gli altri contenuti sono forniti "così come sono" e "come disponibili" senza alcuna dichiarazione o garanzia, esplicita, implicita o legale.
Nella misura massima consentita dalla legge vigente, Football Exchange non riconosce alcuna garanzia implicita di titolo, commerciabilità, idoneità per un particolare scopo dei servizi.
ARTICOLO 14. Limitazione di responsabilità
L'utente dichiara sin d'ora di sollevare da ogni responsabilità Football Exchange per qualsiasi danno indiretto, accidentale, consequenziale o punitivo derivante da o in connessione con questi termini di servizio.
Se non sei soddisfatto dei servizi, accetti che il tuo unico ed esclusivo rimedio sarà l'interruzione dell'utilizzo dei servizi.
ARTICOLO 15. Indennizzo
Alcune giurisdizioni limitano e regolano le forme e la legittimità di indennizzi a favore dei consumatori. Se non sei residente in Italia sarà tua cura informarti preventivamente sui tuoi diritti in relazione all'uso di questa piattaforma.
Nel caso in cui fossi residente in Italia l'utilizzo anche solo indiretto di qualsiasi servizio offerto da Football Exchange ti preclude qualsiasi possibilità di rimborso od indennizzo del valore acquistato.
Quanto sopra si applica agli acquisti di Crediti; per le condizioni specifiche relative al rinnovo, alla disdetta e all’eventuale rimborso dell’abbonamento Premium si rinvia all’Articolo 2.
ARTICOLO 16. Cedibilità – Nessun beneficiario di terze parti
Nessuna disposizione dei presenti Termini di servizio è intesa, né sarà interpretata, per fornire o creare diritti beneficiari di terze parti o altri diritti di qualsiasi tipo in qualsiasi utente, cliente, o qualsiasi parte del presente o qualsiasi altra persona a meno che espressamente previsto diversamente nel presente documento.
ARTICOLO 17. Rinuncia
Nessuna rinuncia da parte di Football Exchange, sia per condotta che in altro modo, a qualsiasi termine, disposizione o condizione stabiliti nei presenti Termini di servizio sarà considerata una rinuncia ulteriore o continuativa a tale termine, disposizione o condizione.
ARTICOLO 18. Separabilità
Se una qualsiasi disposizione dei presenti Termini di servizio è ritenuta illegale, non valida o altrimenti inapplicabile, tale disposizione, nella misura minima necessaria, sarà eliminata e ritenuta separabile dai presenti Termini di servizio.
I presenti Termini di servizio, inclusa l'Informativa sulla privacy, costituiscono la dichiarazione completa ed esclusiva dell'accordo tra te e Football Exchange in relazione ai Servizi.
ARTICOLO 19. Politica sulla riservatezza
Football Exchange fornisce la presente Informativa sulla privacy per spiegare come raccogliamo, condividiamo e utilizziamo le informazioni personali su di te e le informazioni derivanti dalle nostre interazioni con te per supportare l'operazione, sviluppo e crescita dei "Servizi".
La presente Informativa sulla privacy si applica alle informazioni che raccogliamo quando visiti e utilizzi i nostri Siti o utilizzi in altro modo i nostri Servizi.
L'Informativa è anche resa disponibile e facilmente accessibile all'utente in fase di registrazione, all'interno della piattaforma e sul sito web ufficiale della Società, affinché possa essere consultata in ogni momento.
ARTICOLO 20. Legge applicabile e giurisdizione. Clausola Compromissoria
I presenti Termini di servizio saranno regolati e interpretati in conformità con le leggi italiane senza ricorrere alle disposizioni sui conflitti di legge.
Tutte le controversie, anche di natura non contrattuale, derivanti dal presente atto, relative o connesse allo stesso, saranno risolte mediante arbitrato secondo il Regolamento della Camera Arbitrale di Milano.
ARTICOLO 21. ACCETTAZIONE DELLE CLAUSOLE RITENUTE E RITENIBILI VESSATORIE
In questi termini e condizioni da te letti potrebbero essere incluse condizioni contrattuali che le leggi in vigore o di prossima emanazione considerino lesive dei tuoi diritti.
Confermi di prestare il tuo incondizionato consenso a tutte le clausole che compongono questi termini e che l'azione da te eseguita sul nostro sito ha il valore previsto dalla sottoscrizione indicata nell'articolo 1341 e seguenti del codice civile.

Glossary
Provider
An entity operating on the web that provides services through access to an information distribution channel governed by predefined rules. Provider of the Services described herein.
Provider Company
The legal entity that is the effective holder of all rights connected with the performance of the services provided to the natural or legal person using them. Hereinafter referred to more briefly as the “Company”.
Account
A unique identifier created by an issuing platform that grants the right to access that platform’s services.
User
A natural or legal person holding exercisable rights who uses the services of a provider, including through an activated account.
Wallet
A designated wallet section (understood as a container) in which digital representations of value attributable to the holder of the access credentials or digital identity (Account) are recorded. As such, it is the system used to manage the User’s Credits within the User’s Account.
Credits/Millions
Credits (M) are a unit of digital value used exclusively within our game. They are managed through a centralised technological infrastructure (the Company’s proprietary servers). Credits cannot be transferred outside the platform and cannot be converted into real money. They serve exclusively a gaming and progression function within the gaming platform and are also used to access the internal “Auctions” and the “Services”. Credits (M) expire at the end of each sporting season (FIGC Serie A football championship), at which point each player’s Credit balance is reset to zero. To participate in the following season, the player must purchase new Credits (M) in accordance with the applicable procedures.
Services
The complete set of gaming features associated and connected with the gaming platform that the User may access using Credits, including features reserved for Users who have subscribed to the optional “Premium” subscription referred to in Article 2.
Applicable Legislation
• Article 30 of Regulation (EU) 2016/679 provides that: “Natural persons may be associated with online identifiers provided by their devices, applications, tools and protocols, such as internet protocol addresses, cookie identifiers or other identifiers such as radio frequency identification tags. This may leave traces which, in particular when combined with unique identifiers and other information received by the servers, may be used to create profiles of the natural persons and identify them.”

Terms and Conditions of Service
Introduction
Please read these Terms of Service carefully.
Football Exchange (“we”, “us” or “our”) may offer and operate certain content, features, applications and services (collectively, the “Services”), including, without limitation, access to and use of this website (www.football-exchange.com) and all applications made available through it.
ARTICLE 1. Purpose of the Service
The Company provides free access to the gaming platform, on which Credits (M) may be purchased. Such Credits allow Users, among other things, to carry out predictive activities relating to the valuation of professional athletes within a proprietary data-indexing system owned exclusively by the Company. In addition to basic free access, the Company offers Users the option to subscribe, on a voluntary basis, to a paid subscription (“Premium”), which provides access to additional features and differentiated conditions of use compared with the free plan, as governed by Article 2 and described in the Platform Guide.
ARTICLE 2. Premium Subscription (Optional)
2.1 The Company offers Users the option to subscribe to a paid subscription called “Premium”, under the terms and at the prices displayed on the Platform from time to time. As of the date of this update, the indicative price is €3.99/month or €39.99/year.
2.2 The Premium plan provides additional game conditions and benefits compared with the Free plan, as described in the Game Guide and Rules and displayed on the Platform before subscription. As of the date of this update, such benefits include a reduced 1% spread when opening BUY/SELL positions and a complimentary Rookie Pack, subject to the conditions displayed on the Platform. Features announced as “coming soon” do not constitute acquired benefits until they are released.
2.3 Unless otherwise stated to the User at the time of subscription, the Premium subscription renews automatically at the end of the selected subscription period until cancelled. The User may disable automatic renewal through the channels made available by the Platform or by the store through which the subscription was purchased; cancellation takes effect for subsequent billing periods.
2.4 Any mandatory rights granted to consumers under applicable law remain unaffected, including, where applicable, the right of withdrawal. Where the User requests the immediate commencement of the supply of digital content or digital services before the expiry of the withdrawal period, the conditions and any consents required under applicable law shall apply.
2.5 The Company may change the price or content of the Premium plan with effect from subsequent renewal periods, provided that the User is given reasonable prior notice and without prejudice to any mandatory rights provided by law.
ARTICLE 3. Initial Trial Period (Trial)
3.1 Where available, a new User may activate a free trial period (“Trial”) for the duration specified on the Platform, currently 15 days, and will receive 60 M in trial Credits, which may be used exclusively during the Trial in accordance with the Platform rules.
3.2 During the Trial, the User may use the enabled features, earn PX and participate in the rankings in accordance with the Game Guide and Rules and, where applicable, the Official Prize Competition Rules.
3.3 Upon expiry of the Trial, any remaining trial Millions are reset to zero and positions opened using trial Credits (M) are closed in accordance with the Platform rules; the relevant players are removed from the TEAM. Trial Credits (M), the TEAM and Trial positions cannot be redeemed or converted into money. PX earned and the User’s ranking position are retained subject to the limits and conditions set out in the applicable documents.
3.4 Any post-Trial offers, temporary discounts or benefits linked to the first purchase of Credits (M) are commercial initiatives governed by the conditions displayed on the Platform and in the current Guide. Unless otherwise stated, such initiatives do not alter the non-refundable and non-convertible nature of Credits (M), without prejudice to the User’s mandatory consumer rights.
ARTICLE 4. Expression of Consent
3.1 Use of our system constitutes conduct indicating acceptance of all of these Terms and Conditions. Your acceptance is confirmed by selecting the relevant area on our website.
ARTICLE 5. Conditions of Access to the Football Exchange System
By using the Services through which you access the gaming platform, you represent and warrant that you:
• Accept the Introduction, the Glossary and each part and term thereof as true and fully understandable to you.
• Accept each provision of these Terms and Conditions.
• Are of the age required by law to use the Service.
• Use the Services solely for personal purposes or on behalf of another entity with that entity’s authorisation.
• Will comply with these Terms of Service and all applicable local, state, national and international laws, rules and regulations when using the Services.
ARTICLE 6. Privacy Policy
Your privacy is of the utmost importance to us. By using the Services, you consent to the collection and use of your information as disclosed in our Privacy Policy, which you are required to review and accept during registration. The Privacy Policy may also be consulted at any time within the Platform and on the Company’s website.
ARTICLE 7. Access to the Services
6.1 We reserve the right, at our sole discretion, to withdraw or modify the Services without prior notice. You acknowledge and agree that the Services may be inaccessible or unavailable for any reason.
6.2 - Under no circumstances shall you:
• Use the Services to defraud third parties or otherwise infringe the legal rights of others
• Cause damage of any kind, whether financial or otherwise, to third parties
• Engage in conduct that violates any applicable law or regulation
• Provide false, inaccurate or misleading information
• Attempt to disrupt, interfere with, damage or gain unauthorised access to the Services
ARTICLE 8. Changes to the Services
We may modify or discontinue, temporarily or permanently, the Services or any part thereof without prior notice. You agree that we shall not be liable for any modification, suspension or discontinuance of the Services or any part thereof.
ARTICLE 9. Operation of the Football Exchange Platform
Certain Services may enable you to access the Football Exchange platform, which provides a range of information and processes football player market values through a proprietary model (FX Index), powered by data owned by Football Exchange and operated on a centralised technological infrastructure (the Company’s proprietary servers).
All game functions and the management of Credits (M) are therefore managed and tracked directly by the Company’s centralised systems, without the use of Blockchain or DLT (Distributed Ledger Technology), or smart contracts.
ARTICLE 10. Third-Party Resources
The Services may refer to and provide links to other websites, services and resources provided by third parties. Football Exchange makes no representation or warranty of any kind in relation to any website, service or resource provided by third parties.
ARTICLE 11. Additional Terms and Conditions
Additional terms and conditions may apply to specific applications, features or parts of the Services. All such additional terms and conditions are incorporated into these Terms of Service by reference.
ARTICLE 12. Intellectual Property Rights
The Services (including, without limitation, all information, software, text, displays, images, video and audio, and the design, selection and arrangement thereof) are protected by copyright, trademark and other intellectual property rights and laws.
These Terms of Service permit you to use the Services solely for personal and non-commercial purposes.
ARTICLE 13. Disclaimer of Warranties
Your use of the Services is at your own risk. The Services, including all tools, applications and other content, are provided “as is” and “as available”, without any representation or warranty, whether express, implied or statutory.
To the fullest extent permitted by applicable law, Football Exchange disclaims any implied warranties of title, merchantability and fitness for a particular purpose in relation to the Services.
ARTICLE 14. Limitation of Liability
The User hereby agrees to release Football Exchange from any liability for any indirect, incidental, consequential or punitive damages arising out of or in connection with these Terms of Service.
If you are dissatisfied with the Services, you agree that your sole and exclusive remedy shall be to discontinue use of the Services.
ARTICLE 15. Indemnification

ARTICLE 16. Assignment - No Third-Party Beneficiaries
